Chapter 2 - The Fall of the First DominoForty-eight hours later, across the Atlantic in a sleek, modern corporate suite overlooking the rain-slicked streets of Paris, Julian Vance leaned back in an ergonomic leather chair and stretched his arms above his head with a satisfied sigh.

The emergency financing conference was a convenient fiction he had invented to satisfy the whispers of his board members. The real agenda was a three-day romantic getaway at a five-star boutique hotel near the Place Vendôme with Lily, who was currently humming softly in the bathroom as she applied her makeup for dinner.

Julian’s phone buzzed on the mahogany desk.

He glanced down lazily, expecting an email from his lead software engineer regarding the upcoming Series B product launch. Instead, the notification banner displayed an urgent calendar alert flagged in crimson: EMERGENCY BOARD SUMMONS – STERLING-VANCE ENTERPRISES.

Julian frowned, tapping the screen to open the message. It wasn't from his internal secretary. It was a formal legal notice issued by Sterling, Vance & Cole Corporate Counsel—his wife’s family law firm, headed by none other than Arthur Vance.

SUBJECT: NOTICE OF ACCELERATED DEBT MATURITY AND ASSET AUDIT.

Notice is hereby given that pursuant to Section 12.4 of the primary capitalization agreement executed on November 14, 2021, Vance Capital Holdings has elected to call the entirety of the outstanding ten-million-dollar mezzanine loan extended to Sterling-Vance Enterprises, effective immediately. Failure to cure the balance within seventy-two hours will result in automatic equity foreclosure and transfer of controlling shares.

Julian let out a sharp, incredulous laugh.

"What kind of sick joke is this?" he muttered aloud.

He grabbed his phone and dialed his chief financial officer, Richard Sterling, back in New York. The call picked up on the second ring, but instead of Richard’s calm, measured voice, Julian was met with a flurry of frantic background noise.

"Julian! Where the hell are you?" Richard shouted over the sound of slamming doors and ringing telephones.

"I'm in Paris, Richard. What is this ridiculous legal notice from Arthur Vance? Is this some kind of internal power play?"

"Power play?" Richard barked hysterically. "Julian, the accounts are locked! Every single corporate credit line, revolving credit facility, and operational account at Chase has been frozen by court order! The bank received a priority lien filing from Vance Capital this morning claiming senior creditor status!"

Julian stood up so fast his chair rolled backward and crashed against the wood-paneled wall.

"Senior creditor status? That's impossible! We restructured those loans two years ago through a commercial syndicate! Vance Capital was bought out!"

"Apparently not!" Richard screamed. "Arthur Vance holds the underlying promissory notes, and they were never converted! Furthermore, a federal forensic auditor just walked into our Manhattan headquarters with a court order, demanding access to every expense report, travel receipt, and subsidiary ledger from the last three years!"

Julian’s chest tightened. A cold sweat broke out across the back of his neck.

"Expense reports?" he echoed, his mind flashing instantly to the flights, hotels, and luxury dinners he had charged to corporate accounts over the last eighteen months—including the private jet charter to Miami he had billed under client acquisition, and the Tribeca apartment lease he had quietly registered under a shell company for Lily.

"Julian, if they audit those discretionary accounts, we’re looking at federal securities fraud and grand larceny," Richard hissed. "Where are you? You need to get back here right now and fix this!"

"I... I have a meeting," Julian stammered, the reality of his crumbling empire beginning to crash down around him.

"Forget the meeting!" Richard yelled. "Your wife’s family owns the ground your company stands on! Call Claire! Beg her to stop this!"

The line went dead with a sharp click.

Julian stared at his phone, his hands trembling violently. The warm, euphoric glow of Paris vanished, replaced by the suffocating terror of a man realizing he had just jumped out of an airplane without a parachute.

The bathroom door opened, and Lily stepped out, wearing a stunning black silk dress, her lips painted a vibrant, confident red.

"Pack your things, Lily," Julian interrupted, his voice hollow and frantic. "We’re catching the next flight back to New York."
